Michael Keresman III, Cardinal Commerce

CEO

Prior to founding the Company in 1999, Mr. Keresman was one of the earliest employees at STERIS Corporation (NYSE: STE) holding several senior management positions from 1988 to 1999 including during STERIS' initial public offerings. STERIS Corporation markets, develops, and manufactures infection and contamination prevention systems, related consumables, accessories and supplies for the worldwide healthcare and scientific markets. Mr. Keresman's most recent position at STERIS was Senior Vice President, Chief Financial Officer, and Chief Information Officer, as well as functioning as the primary operations executive. During his tenure as Chief Financial Officer he was responsible for investor and stockholder relations.  Mr. Keresman was the company's first financial executive and played key roles in STERIS' rapid growth from a true start-up through $800 million in revenue.  STERIS grew during the first six years from internal sources and during the last portion of his tenure, in a combination of internal growth and acquisition.  He was the primary executive involved in completing the acquisition of AMSCO International, a company four times STERIS' size.  While CFO, Mr. Keresman helped arrange and complete acquisitions of AMSCO, Calgon Vestal, Ecomed, Micro Dimensions, Isomedix and several other companies.  STERIS used multiple financing strategies to support amassing the most comprehensive collections of technologies for the infection prevention/contamination control marketplace.

As the CFO/CIO and principal operations executive, Mr. Keresman managed STERIS facilities in Finland, Germany, and in Erie Pennsylvania, St. Louis Missouri and Birmingham Alabama.

Mr. Keresman was nominated as CFO of the year in 1996 and served on the NASDAQ policy/advisory committee from 1997 through 1998.

In 1981, Mr. Keresman was one of the founders and Chief Financial Officer for the first statewide HMO network in the country. HealthAmerica of Ohio originated in Cleveland, Ohio and grew from 20,000 members to more than 100,000 members in less than three years. HealthAmerica, the parent company of HealthAmerica of Ohio, became a public company during his tenure and, as the financial executive of the largest subsidiaries, he was part of the support team that helped the company go public. Between his tenure at STERIS and HealthAmerica, Mr. Keresman held senior management positions at International HealthCare, Inc. (IHC) and Western Reserve Health Plan. Mr. Keresman has a BSBA in Finance from John Carroll University.

Mr. Keresman recognized the need for authentication and its application in the commercial marketplace, perhaps before the industry initially did.  He essentially placed a bet with his time and talent, as well as his financial resources, that in the future, authentication, or the positive identification of individuals would become important; that this concept would have a wide array of applications in the business world; and that in order for authentication to succeed in adoption by various industries it would need to take place very early on in the transaction process.  With the advent of guaranteed payment initiatives specifically built around the concept of authentication having been launched by Visa, MasterCard and JCB, with others to follow, that bet looks to be certain to pay off.

The flexibility of Mr. Keresman's concept and the way it has been designed and implemented through Cardinal has enabled the Company to focus on specific business opportunities when they have emerged, as the industry has recognized the need for technology like Cardinal's, without losing focus of Mr. Keresman's overall vision - to become the primary authentication agent and enabler for both financial and non-financial transactions worldwide.  Cardinal has also been successful in pursuing protection for its innovative technological concepts, with many of its business methods in the final stages of securing patents both in the US and abroad.

The widely experienced and respected management team and board of directors Mr. Keresman has been able to assemble is a testament to the leadership that he has provided in his vast entrepreneurial experience and the high standards to which he holds himself and those that support his business endeavors.  Moreover, many of the associates who have been with Cardinal since its founding are still actively present, having grown into more diverse roles and responsibilities with the Company under Mr. Keresman's tutelage.
